DBI Group offers investors something increasingly rare in the Indian market: a diversified operating company with audited financials, institutional governance, disciplined capital allocation, and a leadership team that has its own capital invested alongside yours.

Investment Thesis

Why DBI Is a
Compelling Long-Term Bet

DBI Group represents a structurally differentiated opportunity in the Indian private market: a diversified operating company that combines the downside protection of a multi-sector portfolio with the upside potential of individually high-growth businesses, all governed under institutional standards and led by operators with deep skin in the game.

The Indian economy is at a generational inflection point. GDP is on a trajectory to become the world's third largest. Urbanisation, digital adoption, financial inclusion, and consumption growth are accelerating simultaneously across sectors. But capturing this opportunity requires more than capital — it requires operators who understand the Indian market at a granular, ground-level depth and can build businesses that work not just in Tier 1 cities, but across the country.

DBI was built specifically for this moment. Our six business verticals — Technology, Infrastructure, Financial Services, Consumer, Healthcare, and Education — were each selected because they sit at the intersection of structural demand, scalable economics, and operational complexity that creates barriers to entry. Together, they form a portfolio that is resilient to sector-specific downturns, generates diversified revenue streams, and compounds value through cross-vertical synergies that no single-sector company can replicate.

Our investors do not need to pick the winning sector. They hold a stake in six sectors simultaneously, each managed by domain specialists and governed by institutional-grade oversight. The Group's centralised capital allocation framework ensures that capital flows to the highest-returning opportunities at any given time — not based on sentiment, but on audited performance data and forward-looking return models.

I

Structural Diversification

Six business verticals across uncorrelated sectors. No single market event, regulatory change, or competitive disruption can threaten the Group. When one sector decelerates, others compensate — creating a portfolio that delivers steady compounding even in volatile environments.

II

Operator-Led, Not Passively Managed

DBI is not a fund. We do not write cheques and wait. Our leadership teams run each business day-to-day with full P&L accountability. This operating control gives us the ability to course-correct in real time, extract operational efficiencies, and build businesses that generate value from operations — not just from financial engineering.

III

Institutional Governance at Early Stage

Independent board, audited financials, formalised risk management, compliance infrastructure, and a whistleblower mechanism — governance built for a company ten times our current size. This institutional backbone reduces investor risk and positions DBI for larger capital raises and eventual public market access.

IV

Founder Skin in the Game

DBI's founding team and senior leadership have significant personal capital invested in the Group — aligned alongside external investors in every decision. Our incentive structures are designed so that leadership generates wealth only when investors generate returns. No misalignment. No hidden upside.

V

Clear Path to Value Realisation

Each DBI vertical is built as an independently viable business with its own revenue model, market position, and growth trajectory. This creates optionality: strategic partnerships, vertical-level exits, secondary transactions, or an eventual Group-level public listing — all are available paths to value realisation for investors.

Funding Journey

From First Capital to
₹100 Crore Valuation

Every rupee raised has been deployed into building real businesses with real revenue. This is not a story of successive markups on paper — it is a record of capital put to work and value created.

Founding Capital & Company Formation

₹X Crore

DBI Group incorporated with founding capital from the promoter group. Initial thesis established: build a diversified operating company across India's highest-conviction sectors. Seed capital deployed to launch the first business vertical and establish core operating infrastructure — legal entity structure, compliance framework, financial reporting systems, and the founding leadership team.

First Institutional Investment

₹XX Crore

On the strength of first-year revenue, operational proof points across two verticals, and a detailed multi-sector expansion roadmap, DBI secured its first institutional investment. This round brought strategic partners who contributed not just capital but sector expertise, advisory support, and network access that accelerated our entry into new verticals.

₹60 Crore Capital Raise — Landmark Round

₹60 Crore

DBI closed a landmark growth round of ₹60 crore from a syndicate of institutional investors, family offices, and strategic partners. This was the largest capital event in the Group's history and represented a fundamental validation of the DBI operating model — diversified, operator-led, and governed to institutional standards. Capital was deployed across all six verticals with a clear allocation framework: 40% into high-growth scaling of existing verticals, 30% into new vertical establishment, 20% into infrastructure and technology, and 10% reserved for opportunistic deployment.

Scaling for the Next Milestone

All six verticals are revenue-generating and operationally independent. The Group is now focused on scaling individual verticals to market-leadership positions, expanding into new geographies, and building the operational depth required for the next phase of capital raise. DBI is actively in conversation with institutional investors for its next growth round, targeted at funding geographic expansion, vertical deepening, and preparation for eventual public market access.

Corporate Governance

Governance That Earns Trust,
Not Just Compliance

We do not treat governance as a regulatory checkbox. We treat it as the infrastructure that makes everything else — capital deployment, operational execution, investor trust — possible at scale.

01

Independent Board of Directors

The DBI Board includes independent directors with no operational conflicts, deep fiduciary experience, and sector expertise spanning finance, technology, and governance. Board meetings are held quarterly with documented minutes, formal resolutions, and independent review of strategic decisions.

02

Statutory Audit & Financial Reporting

All Group and subsidiary financials are prepared in accordance with applicable Indian Accounting Standards and audited annually by a reputed independent statutory auditor. Consolidated financials are made available to investors with management commentary.

03

Internal Audit & Controls

An internal audit function reviews operational and financial controls across all verticals on a rolling basis. Findings are reported directly to the Audit Committee of the Board, ensuring that control gaps are identified and remediated independent of management influence.

04

Risk Management Framework

A formalised risk register covers sector risk, capital concentration risk, regulatory risk, operational risk, and key-person risk across the Group. Risk assessments are updated quarterly, and threshold breaches trigger automatic escalation to the Board.

05

Ethics & Whistleblower Policy

A Group-wide Code of Conduct governs every employee, vendor, and partner interaction. A confidential whistleblower mechanism allows any stakeholder to report concerns without fear of retaliation. Conflict-of-interest policies are documented and enforced at every level.

06

Regulatory Compliance

Every DBI entity operates in full compliance with applicable regulatory frameworks — Companies Act, Income Tax Act, GST, sectoral regulations (RBI, SEBI where applicable), and state-level requirements. Compliance is monitored centrally and reported to the Board quarterly.
